Welcome to BusyBandit! These Terms & Conditions (“Terms”) govern your access to and use of the website www.busybandit.com (the “Site”) and any related products, services, resources, financing or other offerings made available by BusyBandit (“we”, “us”, “our”, or “BusyBandit”). By accessing or using the Site or any offers from BusyBandit, you accept and agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Site or our services.

1. Definitions

• “Customer”, “you”, “your” means any person or entity who uses the Site, purchases our products or services, schedules an appointment or obtains financing through BusyBandit.

• “Products” means any goods we make available for sale via the Site or otherwise.

• “Services” means any services offered by BusyBandit, including consultations, installation, in-home visits, resources, or other service offerings.

• “Resources” means any informational materials, guides, blog posts, videos, or content provided via the Site.

• “Financing” means any credit, loan, payment plan or financing arrangement offered or facilitated by BusyBandit for our products or services.

• “Offerings” means the Site, Products, Services, Resources, and Financing collectively.

2. Use of the Site and Eligibility

2.1 You represent and warrant that you are at least 18 years of age (or the age of majority in your jurisdiction) and have full legal capacity to enter into these Terms.
2.2 You agree to use the Site and Offerings only for lawful purposes and in accordance with these Terms. You will not use the Site in any way that violates applicable law, infringes the rights of others, or restricts or inhibits anyone else’s use of the Site.
2.3 BusyBandit reserves the right to refuse or terminate access to any user, for any reason, at our discretion.

3. Products, Services & Orders

3.1 All orders for Products or requests for Services or Financing are subject to these Terms and any additional terms provided at the time of sale.
3.2 Product descriptions, pricing, availability, and services are subject to change without notice. We strive for accuracy but do not guarantee that everything on the Site is free from error.
3.3 We may require you to provide information and authorization to process your request or order (for example, credit information for Financing). You agree to provide true, accurate, current and complete information.
3.4 After you place an order, we will send you a confirmation. The acceptance of your order and formation of contract may be subject to verification of availability, payment, financing approval or other conditions.
3.5 If we cannot fulfill your order, we will inform you and you will not be charged.
3.6 Delivery, installation, consultation or other service timelines are estimates only. BusyBandit is not liable for delays caused by third parties, weather, access issues, or events outside our control.

4. Financing

4.1 If you apply for Financing, the Financing is subject to credit approval and additional terms from the financing provider. BusyBandit is not responsible for the financing provider’s decisions or terms beyond what we communicate.
4.2 You authorise us to share your information with third parties necessary to evaluate your financing request.
4.3 You must pay all amounts due under the financing arrangement in accordance with its terms. Failure to do so may result in late fees, interest, collection costs and other consequences described in your financing agreement.
4.4 BusyBandit is not responsible for changes in interest rates, lender policies, or other financing provider terms.

5. Pricing & Payment

5.1 Prices for Products and Services are as shown on the Site or as quoted to you, unless otherwise stated. We may offer promotional pricing or financing options from time to time at our discretion.
5.2 Payment is due as specified in the order confirmation or service agreement. If payment is not received when due, we may suspend delivery or services, cancel the order, or assess a late fee.
5.3 All payments must be in U.S. dollars unless otherwise specified.
5.4 You accept responsibility for all taxes, duties, fees or other charges applicable to your order or service.

6. Returns, Refunds & Cancellations

6.1 Return and cancellation policies depend on the specific Product, Service or Financing agreement. Unless otherwise stated in your contract or invoice, Products may be returned only if defective or as otherwise permitted by law.
6.2 Services may be cancelled or rescheduled in accordance with our service agreement. Cancellations may incur a fee if work or preparation has commenced.
6.3 Financing agreements may not be cancelled by BusyBandit; you must comply with your financing provider’s terms for cancellation or termination.

7. Intellectual Property

7.1 All content on the Site, including text, graphics, logos, images, videos, icons, and software (collectively “Content”) is the property of BusyBandit or its licensors and is protected by copyright, trademark and other intellectual property laws.
7.2 You may view, download, and print Content for your personal, non-commercial use only, provided you keep all copyright and other proprietary notices intact. Any other use of the Content (including reproduction, distribution, modification, public display or performance) without BusyBandit’s prior written consent is strictly prohibited.
7.3 The BusyBandit name and logo are trademarks of BusyBandit. Other product and service names may be trademarks of their owners.

8. User Content & Feedback

8.1 If you submit content to the Site (such as reviews, comments, photos, or other materials) you grant BusyBandit a worldwide, non-exclusive, royalty-free, perpetual licence to use, reproduce, modify, publish, and distribute such content in any format or medium, for any purpose.
8.2 You represent that you own or have the right to submit the content and that it does not violate any third-party rights, including privacy, publicity, intellectual property or other rights.
8.3 BusyBandit may, but is not required to, monitor, edit or remove any user content for any reason.

9. Disclaimers & Limitation of Liability

9.1 THE SITE, PRODUCTS, SERVICES AND RESOURCES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND—EITHER EXPRESS OR IMPLIED. BUSYBANDIT DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE.
9.2 BUSYBANDIT DOES NOT WARRANT THAT THE SITE OR OFFERINGS WILL BE UNINTERRUPTED, ERROR-FREE, SECURE OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.
9.3 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BUSYBANDIT AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS AND DIRECTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OR GOODWILL, OR COSTS OF PROCUREMENT OF SUBSTITUTE PRODUCTS OR SERVICES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR ANY OFFERINGS, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9.4 BUSYBANDIT’S TOTAL MAXIMUM AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE OFFERINGS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO BUSYBANDIT FOR THE PARTICULAR PRODUCT OR SERVICE GIVING RISE TO THE CLAIM (OR, IF NO AMOUNT PAID, ONE HUNDRED U.S. DOLLARS).
9.5 Some jurisdictions do not allow limitations of certain warranties or exclusions of liability for incidental or consequential damages; if applicable law prohibits such limitations, the relevant provisions shall apply to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend and hold harmless BusyBandit and its officers, directors, employees, agents, licensors and service providers from and against all losses, liabilities, claims, demands, damages, costs and expenses (including reasonable attorneys’ fees) arising out of or in connection with: your breach of these Terms; your violation of any law or the rights of a third-party; your use of the Site or Offerings; your negligence or willful misconduct; or your submission of user content.

11. Privacy

Your privacy is important to us. Our Privacy Policy (available on the Site) explains how we collect, use, share and protect your information and is incorporated by reference into these Terms.

12. Governing Law and Dispute Resolution

12.1 These Terms and any dispute, claim or controversy arising out of or relating to these Terms or the Offerings (a “Dispute”) shall be governed by and construed in accordance with the laws of the state in which BusyBandit is headquartered, without regard to its conflict of law rules.
12.2 You agree that any legal suit, action or proceeding arising out of or related to these Terms or the Offerings will be brought exclusively in the federal or state courts located in the county where BusyBandit is headquartered. You waive any objection to venue or convenience of forum.
12.3 If any portion of these Terms is found to be unenforceable, such portion will be severed and the remaining Terms will remain in full force and effect.

13. Changes to These Terms

We may revise these Terms from time to time in our sole discretion. When we do, we will post the updated Terms on this Site and update the “Last updated” date at the top. Your continued use of the Site or Offerings after such changes constitutes your acceptance of the new Terms. We encourage you to review the Terms periodically.

14. General Provisions

14.1 These Terms, the Order Confirmation (if applicable) and any other written agreement between you and BusyBandit constitute the entire agreement between you and BusyBandit regarding the Offerings and supersede all prior or contemporaneous communications.
14.2 Failure of BusyBandit to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
14.3 You may not assign or transfer your rights or obligations under these Terms without BusyBandit’s prior written consent. BusyBandit may assign or transfer its rights or obligations without your consent.
14.4 Headings in these Terms are for convenience only and have no legal or contractual effect.
